Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Larracos Labs LTD (Company No. 16781423), a company registered in England and Wales (“we”, “us”, or “our”).

By accessing or using the Seemor Intelligence Platform, including our REST API, MCP tools, and developer console (collectively, the “Platform”), you agree to be bound by these Terms. If you do not agree, you may not access or use the Platform.

2. Platform Description

The Seemor Intelligence Platform provides structured restaurant intelligence via API and MCP (Model Context Protocol) integrations. The Platform delivers AI-generated restaurant analysis, dimensional scoring, letter grades, and occasion-aware recommendations for use within your applications and AI agents.

The Platform is provided as a commercial service. Features, endpoints, and data coverage may change as we expand. We will provide reasonable notice of breaking changes to published API versions.

3. Eligibility and Access

You must be at least 18 years old and have the legal authority to bind yourself or your organization to these Terms. By using the Platform, you represent and warrant that you meet these requirements.

Access to the Platform requires an API key issued through our developer console. You are responsible for maintaining the security of your API credentials and for all usage under your account.

4. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of applicable laws
• Attempt to reverse-engineer, reconstruct, or extract our proprietary scoring models, training data, or analytical methodology
• Redistribute, resell, or sublicense raw Platform data without a separate data licensing agreement
• Use Platform output systematically to train, fine-tune, or validate a competing restaurant scoring or recommendation system
• Exceed your plan's rate limits or use automated means to circumvent usage controls
• Misrepresent Seemor-generated content as your own original analysis or as factual statements rather than AI-generated assessments
• Use the Platform to transmit harmful code, interfere with our infrastructure, or probe for vulnerabilities without authorization
• Share your API credentials with unauthorized third parties

5. API Usage and Rate Limits

Your use of the Platform is subject to the rate limits and quotas associated with your pricing tier. We reserve the right to throttle or suspend access if usage patterns indicate abuse, excessive load, or violation of these Terms.

We aim for high availability but do not guarantee uninterrupted service. Planned maintenance will be communicated in advance where feasible.

6. Intellectual Property

6.1 Our Intellectual Property

The Platform, including our scoring methodology, dimensional analysis frameworks, AI-generated assessments, and all associated software, is owned by Larracos Labs LTD and protected by applicable intellectual property laws.

6.2 Your Use of Platform Output

Subject to these Terms and your pricing plan, you may use Platform responses within your applications. Attribution to Seemor is required in user-facing contexts where our data is displayed. Specific attribution requirements, including white-label options at qualifying tiers, are documented at docs.seemor.ai.

6.3 Feedback

Any feedback, suggestions, or improvements you provide regarding the Platform may be used by us without obligation to you.

7. Data and Assessments

The Platform provides AI-generated grades and dimensional assessments of restaurants based on analysis of publicly available data. All restaurant assessments constitute the opinion of our analytical system based on publicly available information and our disclosed methodology. They are a form of commentary and analysis, not statements of fact.

We do not guarantee the accuracy, completeness, or timeliness of any restaurant assessment. Restaurant conditions change over time, and different diners may have different experiences.

You are responsible for how you present Platform data to your end users. We recommend clearly indicating that assessments are AI-generated and based on public data analysis.

8. Pricing and Payment

Platform access is available across multiple pricing tiers as published on our website and developer console. We reserve the right to modify pricing with 30 days advance notice. Continued use after a pricing change constitutes acceptance.

Usage beyond your tier's included allocation may incur overage charges as specified in your plan details.

9. Disclaimers and Warranties

To the maximum extent permitted by law, the Platform is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Platform will be uninterrupted, error-free, or that results will be accurate or reliable. We do not warrant that any restaurant grades, scores, or recommendations will be accurate, complete, or reflect the current state of any restaurant.

10. Limitation of Liability

To the maximum extent permitted by law, in no event shall Larracos Labs LTD, its directors, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of or inability to use the Platform.

Our total liability to you for all claims arising out of or related to these Terms or the Platform shall not exceed the amount you paid us in the past 12 months or £100 GBP, whichever is greater.

Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Larracos Labs LTD from claims, liabilities, damages, losses, and expenses arising from your use of the Platform, violation of these Terms, or your end users' interaction with Platform data as presented by your application.

12. Termination

We may suspend or terminate your access immediately for violation of these Terms or abusive usage patterns. You may terminate your account at any time through the developer console.

Upon termination, your API credentials are revoked and your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (intellectual property, disclaimers, indemnity, limitations of liability) shall survive.

13. Changes to Terms

We may modify these Terms with 30 days notice for material changes. Notice will be provided via email to your registered developer account and by posting the updated Terms on this page. Continued use of the Platform after the effective date constitutes acceptance.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. Before initiating legal proceedings, you agree to contact us to attempt to resolve any dispute informally.
